Executive Summary

Canadians are regarded as one of the world leaders in the development of hockey players, figure skaters, and curlers, and we have produced a large number of the top athletes globally for all types of ice related sports. Providing the infrastructure to support the recreational and competitive users has traditionally been the responsibility of municipalities across the country. Most of the facilities were constructed and subsidized in operations as a part of the Municipal, Provincial and Federal tax burden.

The recreational ice market has grown steadily over the last ten years despite many predictions to the contrary. Slight increases in the traditional boys minor hockey system have been augmented by unprecedented growth in girls and women's hockey and adult hockey as a whole.

Soccer is the fastest growing recreational sport in Canada for both genders at all ages. Our Women's National team's success at the world level has spurred a quickly growing elite youth program, and the need for year-round training facilities is now critical across the country.

Downloading of responsibilities to the Municipal governments, and changing tax structures has resulted in a severe strain on the ability of Cities and Towns to replace aging facilities, and has created a trend towards a 'user pay' approach to sustainable operations.

Nustadia Developments was a division of the Cochrane Group Inc., created to provide innovative solutions to the development of new facilities in the private sector and through Community Partnerships.

In the last five years, Nustadia has had remarkable success, and in January 2005 is currently operating / programming twelve ice-pads in six different facilities, and has become the most experienced multi-pad rink developer in the North America. The operating contracts are primarily long-term service-contracts with municipalities, and represent a considerable cumulative cash flow on a low-risk basis. Development of the new facilities has been a lucrative source of revenue for the Cochrane Group, and there is an impressive list of prospects for new facilities.

The Cochrane Group has formed a new company, Nustadia Recreation Inc. that consolidates all the operations and development projects into a single corporation. The new company has a mandate to expand the operating division in North America through new developments and community partnerships in two market areas; recreational multi-pad ice rinks and indoor soccer facilities. Other projects / operations, such as multi-purpose spectator arenas, may be considered on a selective basis.

The CGI senior management team that was involved in operations and development has formed the new management team. The immediate goal is to successfully and efficiently integrate the various operating entities into a single company, and to develop and implement a "best practices" approach to the provision of arena operating and development management services.

The large facility management firms are concentrated on the spectator arena market in the U.S. There are very few facility management firms currently operating community recreation facilities in Canada. Municipalities are seeking community partners to provide a level of service to their constituents that is comparable or better than the traditional municipal standard, with the efficiency of a private sector operation. There are no companies specializing in the current needs of the Municipal governments and the vast majority of private companies that do operate recreation facilities service the adult hockey market almost exclusively.

Nustadia Recreation Inc. is uniquely qualified for this role, with the proven ability to develop, finance and operate facilities for both community-based programs and adults.
